Amber M. Naiman is an innovative and diligent corporate transactional attorney with in-depth experience advising business teams on a wide range operational, commercial, transactional, corporate, regulatory, licensing and compliance matters. Amber assists, established, emerging and start-up companies across a variety of industries through the entire business life cycle including matters involving business formation and structure, complex commercial transactions, mergers and acquisitions (both on the buy and sell-side), corporate governance, venture capital, debt/equity financing and exit strategies and dissolution.
Prior to joining Messner Reeves, Amber’s practice focused largely on advising individuals and business teams alike on matters involving highly regulated industries. Representing multiple privately held companies and family offices in buy/sell transactions and related due diligence and regulatory compliance, ranging in value from $50,000 – $45,000,000, varying as corporate, regulatory, due diligence and/or local counsel.
Amber is a Canadian citizen from the Greater Toronto Area and graduated from the University of Guelph in Guelph, Ontario with a Bachelor’s of Commerce degree before obtaining a joint JD-LL.M in International Business law from the University of Denver, Sturm College of Law. Prior to law school Amber took a position in the University of Guelph’s, Agricultural and Economics Department, where, she assisted in composing a publication for presentation titled “Canadian Bilateral Trade Agreements: Drivers, Pressures, and Constraints”, discussed at the 2012 International Agricultural Trade Research Consortium (IATRC) Annual meeting, which analyzed economic theory and free trade agreements between Canada and its trading partners. She also spent time serving and English teacher in Israel for grade school children and Sudanese refugees.
Amber’s experience working and living in other countries and handling regulatory and compliance matters provides a unique perspective to finding comprehensive and creative solutions to complex legal issues, advantageous to individuals and business alike, and further providing here clients with the foundations to grow and prosper in our dynamic economic climate and emerging markets.
Outside of the practice of law Amber enjoys listening to live music, skiing, hanging out with her dog Jimmy (and husband Jake), and considers NHL playoffs the most wonderful time of the year, despite being a Toronto Maple Leafs fan.
