Rachel Farr
Partner
Rachel Farr is a partner in the Denver office of Messner Reeves, where she advises businesses throughout every stage of the corporate lifecycle on mergers and acquisitions, corporate finance, private equity transactions, securities matters, corporate governance, and general corporate operations.
Rachel serves as trusted outside counsel to businesses ranging from startups and closely held companies to established regional enterprises. She guides clients through entity formation, organizational structuring, capital raises, strategic expansion, partner admissions and buyouts, financing transactions, mergers and acquisitions, and business sales/dissolutions. Her practical, business-focused approach allows clients to navigate complex legal and operational challenges while remaining focused on growth and long-term objectives.
Rachel maintains a robust corporate finance practice and is one of the firm’s primary attorneys handling sophisticated financing transactions. She advises borrowers, developers, operators, and investors on acquisition financing, construction loans, refinancing transactions, private equity investments, institutional lending arrangements, and private capital raises. Her experience enables clients to secure and deploy capital effectively to support expansion, acquisitions, development projects, and other strategic business initiatives.
A significant portion of Rachel’s practice is dedicated to mergers and acquisitions. She represents buyers, sellers, investors, and management teams in transactions involving businesses across a wide range of industries, including healthcare, hospitality, restaurants, retail, real estate, technology, and emerging markets. Rachel regularly advises clients through every stage of a transaction, from initial structuring and due diligence through negotiation, closing, and post-closing matters.
Representative matters include representing an operating partner in a $250 million residential real estate joint venture; representing a buyer in the acquisition of more than nine franchised restaurant locations; representing a borrower in a $13.5 million refinancing transaction to fund restaurant expansion; representing a restaurant operator in $8.5 million in construction and term loan financing; representing a prominent regional real estate development group in acquisition and construction financing matters; representing a real estate development group in more than $30 million in acquisition and construction financing; representing a seller in a $50 million sale of a home healthcare business; representing sellers in an approximately $35 million sale of a SaaS platform; and representing a regional restaurant chain in multiple private equity funding rounds.
Prior to joining Messner Reeves, Rachel practiced corporate and securities law in Philadelphia. She also gained experience working with the United States District Court for the Eastern District of Pennsylvania, the School District of Philadelphia Office of General Counsel, and the Hospital of the University of Pennsylvania.
Rachel earned her J.D. from Temple University Beasley School of Law, graduating magna cum laude, and her A.B. in Comparative Human Development from The University of Chicago. She is admitted to practice law in Colorado and Pennsylvania.
