Matthew S. Henderson is a Partner in the Orange County office of Messner Reeves LLP, where his practice focuses on financial services, real property, bankruptcy, securities, intellectual property, corporate transactional matters, and insurance subrogation.

Matthew serves as lead counsel in complex commercial litigation involving national banks, Fortune 500 companies, loan servicers, and technology companies in state and federal courts. His experience includes law and motion practice, written discovery, percipient and expert depositions, international discovery, mediation, arbitration, trial, post-trial proceedings, and appeals.

Matthew represents institutional lenders and loan servicers in matters involving home, commercial, and construction lending; letters of credit; consumer and business banking; special assets; workout arrangements; servicing; and receiverships. He advises financial institutions on regulatory compliance, consumer and data privacy, loan origination and modification, and strategies for resolving delinquent multimillion-dollar commercial loans.

Matthew also represents institutional creditors in Chapter 7, 11, and 13 bankruptcy matters, including adversary proceedings. He has represented clients in administrative proceedings before the Securities and Exchange Commission and the Public Company Accounting Oversight Board.

In his corporate transactional practice, Matthew advises clients on corporate governance, business formations and dissolutions, mergers, corporate and public filings, and board of directors meetings and minutes. His experience includes preparing and reviewing business contracts, vendor agreements, license agreements, asset purchase agreements, nondisclosure agreements, and organizational documents. Matthew obtained a six-figure judgment at trial as first-chair plaintiff’s counsel in a real estate broker dispute.

Matthew earned his Juris Doctor from Whittier Law School, where he was named to the Dean’s List and Honor Roll and received a CALI Award in Internet Law. He earned his Bachelor of Arts in political science from Oakland University, where he was an Auburn Hills Scholarship recipient.

Matthew is admitted to practice in California; the U.S. District Courts for the Central, Northern, Eastern, and Southern Districts of California; and the U.S. Courts of Appeals for the Second and Ninth Circuits.
